On Jan. 23, Buffalo Grove, Illinois-based building materials distributor US LBM announced that it will sell three of the company’s operating divisions to a subsidiary of building products distributor ABC Supply Co.

US LBM is selling Feldman Lumber, Rosen Materials and Wallboard Supply Company — and their subsidiaries Coastal Roofing Supply, Eastern Wallboard Supply and Richardson Gypsum — to L&W Supply, according to a news release announcing the deal. Financial details were not disclosed.

The deal features two of the top distributors in building materials and construction. For MDM’s 2022 Top Distributors List, ABC Supply ranked No. 2 in the category, while US LBM ranked No. 3.

MDM’s M&A Virtual Summit, to be held Feb. 21-22, has something to offer for any distributor on the dealmaking spectrum. We’ll cover the current state of M&A; how to maximize valuation; integration do’s and don’ts; ESOPs; the culture side of the M&A process; and more. Get details and register here.

The deal is expected to close during the second quarter of 2023.

“The alignment of L&W Supply’s product focus with that of Feldman Lumber, Rosen Materials and Wallboard Supply will be a great benefit for the customers and associates of these divisions,” said US LBM President and CEO L.T. Gibson. “Upon completion of this transaction, US LBM will remain well positioned to continue our growth through product category expansion, strategic acquisitions and greenfield development, while continuing to provide our customers a full line of specialty building products.”

US LBM acquired Feldman Lumber and Wallboard Supply in 2014 and Rosen Materials in 2015. The divisions and their subsidiaries operate 42 locations in 12 states and primarily sell and distribute interior building materials, including wallboard, acoustical ceilings and steel framing, US LBM said.
