Novacap Management Inc. and Rotunda Capital Parters both announced March 2 that they have reached an agreement for Novacap client The Master Group — a Canadian-based distributor of HVACR products — to acquire Rotunda client Refrigeration Sales Corporation (RSC).
Terms of the acquisition were not disclosed.
Founded in 1945 and independently-owned, RSC is based in Valley View, Ohio, serving customers in greater Ohio and the Pittsburgh, Pennsylvania metro area via 10 locations. The company serves approximately 200 suppliers and 2,800 customers. Rotunda invested in RSC in June 2021.
The deal provides Boucherville, Quebec-based The Master Group with extensive coverage in Ohio and Pennsylvania and represents a significant expansion of the Canadian group’s footprint as its second bolt-on in the United States.
“Our vision is to become the leading HVAC-R distributor in North America, and when we considered strategic partners in the United States, RSC’s reputation for excellence, quality management, and alignment with our core values made them a natural choice,” The Master Group CEO Louis St-Laurent said in a news release.
RSC will continue to operate independently with its current management team, led by President and CEO Rohna Wight.

The Master Group brands itself as Canada’s largest HVACR distributor. The company celebrated 70 years in business in March 2022. It has over 1,300 employees across 75 branches and five distribution centers.
