Wolseley plc, global distributor of plumbing and heating products and a supplier of building materials, announced five bolt-on acquisitions for £33 million (US$66.5 million at current exchange rates).
 
In a full year, these bolt-on acquisitions are expected to add £45 million (US$90.7 million) to total revenue.
 
Since Aug. 1, 2007, the start of Wolseley’s financial year, a total of 15 bolt-on acquisitions in Europe and North America have been completed for £203 million. These 15 acquisitions are expected to add £263 million (US$530 million) to Group revenue in a full year.

Watsco, Inc., Coconut Grove, FL, reported sales in 2007 of $1.76 billion, including $121 million from locations acquired or opened in the past 12 months. Revenues on a same-store basis fell 7.6%, reflecting a 5% decline in sales of HVAC equipment (45% of sales).
 
Watsco had a 10% increase in commercial refrigeration product sales and an 11% decline in other HVAC products.
 
From an end-market point of view, results include growth in the residential replacement market, growth in the commercial market and a decrease in sales to new housing.

WinWholesale, Dayton, OH, has opened Gulf Coast Winnelson Company in Port Charlotte, FL, to provide plumbing contractors in five counties with a complete line of equipment, parts and accessories.

The counties are from Bradenton south to Marco Island and include Charlotte, Collier, Lee, Manatee and Sarasota. Gulf Coast is the second Winnelson company to open in 2008 in Florida. The other was Tampa Winnelson in January that serves the Tampa Bay area.

HD Supply, Orlando, FL, will not move forward with its deal to sell its HVAC business to Watsco, Coconut Grove, FL, HD Supply spokeswoman Erica Crosling confirmed to MDM.
 

The potential sales of the HVAC business to Watsco was always dependent up on a transaction that was beneficial for our customers and associates, and maximized value for the company,” Crosling said. “After carefully weighing the options and taking these concerns into consideration, we have decided to retain and grow our HVAC business.”
 
Watsco had signed a letter of intent to buy the HD Supply branches that sell Rheem.

Global building products and plumbing/HVAC distributor Wolseley plc reported a 25% drop in profit for the five months ended Dec. 31, 2007. Full half-year results will be announced in March. Revenue was up 2%.
 
The UK-based company was hit hardest in North America, where profit was down 40% and revenue down 10% (5% in constant currency). Year-to-date, 3,000 people have been laid off at Stock Building Supply and Ferguson in the U.S. due to tough conditions in the U.S. Wolseley has implemented a general headcount freeze” for both continents on which it operates.
 
The company blamed the “worsening U.S. housing market, low consumer confidence arising from global credit restrictions and the weakness of the U.S. dollar.”

WinWholesale, Dayton, OH, has opened Tampa Winnelson Company to provide plumbing and mechanical contractors in the Tampa Bay area.

It is the first WinWholesale company in the Tampa Bay area and serves Hillsborough, Pasco, Pinellas and Polk counties.

Ingersoll-Rand Company Ltd., Hamilton, Bermuda, has agreed to acquire Trane Inc., formerly American Standard Companies Inc., Piscataway, NJ, for $10.1 billion, including the assumption of $150 million of Trane net debt.

Trane is a manufacturer of indoor climate control systems, services and solutions with expected 2007 revenues of $7.4 billion.

HD Supply has signed a letter of intent to sell its Rheem/Ruud HVAC operations to Watsco Inc., Coconut Grove, FL, an HD Supply spokeswoman confirmed. She said&nbsp ; the companies are in the process of due diligence on the deal.

If it moves forward, the transaction would close in the first quarter of 2008. The assets will become part of Watsco’s Gemaire group in Ft. Lauderdale, FL.

Goodman Global, Inc., Houston, TX, manufacturer of residential and light commercial heating, ventilation and air-conditioning equipment, has agreed to be acquired private equity firm Hellman & Friedman LLC for $2.65 billion in cash.

The transaction will be financed by Barclays Capital, Calyon New York Branch, GE Commercial Finance and vehicles managed by GSO Capital Partners LP and Farallon Capital Management, LLC.

Stockholders holding a majority of Goodman’s outstanding shares have agreed to vote in favor of the transaction.

Revenues in the first six months declined 6% to $842 million. Profit for the first six months was $35.4 million, down from the $41.8 million recorded in the same period a year ago. New branches added $21 million of revenue during the first half of 2007.
