3M, St. Paul, MN, has acquired Polyfoam Products Inc., a structural adhesives company specializing in foam adhesives for tile roofing and other adhesive products for the building industry.
 
Polyfoam’s patented professional tile roofing system provides an alternative to mechanical fastening. The unique polyurethane adhesive locks tiles in place and eliminates the need for nails or screws to fasten tiles to the roof, which can leave thousands of tiny puncture holes, according to a 3M press release.

Ashland Inc., Covington, KY, reported preliminary profit for the quarter ended June 30, 2008, of $72 million, a decrease of 28% from the prior year. Sales and operating revenues increased 11% over third quarter 2007 to $2.2 billion.
 
For the first nine months, Ashland reported profit of $177 million, down 10.6% from the same period 2007. Sales and operating revenue totaled $6.2 billion, an increase of 8.2% over the same period a year ago.
 
Segment results
Performance Materials’sales and operating revenues of $425 million increased 6%, but volume per day declined 4%, both as compared with the June 2007 quarter. The unit was impacted by increased raw material costs in all of Performance Materials’business units.

Global chemical company Ashland Inc. has agreed to acquire Hercules Inc., Wilmington, DE, in a deal valued at $3.3 billion. The transaction, which would create a major, global specialty chemicals company, is expected to close by the end of 2008.
 
With sales in more than 100 countries, Ashland is a manufacturer of specialty chemicals, a distributor of chemicals and plastics, and a provider of automotive lubricants, car-care products and quick-lube services.
 
Hercules is a supplier in specialty additives and ingredients that modify the physical properties of water-based systems and is a supplier of specialty chemicals to the pulp and paper industry.
 
Upon the transaction’s close, Ashland will have pro forma combined revenue for the 12 months ended March …

The Dow Chemical Co. has agreed to buy specialty materials and chemicals supplier Rohm and Haas Company, Philadelphia, PA, for $78 per share in cash or $18.8 billion. The agreement provides that Rohm and Haas will continue to do business under the Rohm and Haas name.
 
In addition, Dow will contribute a number of specialty chemicals business segments to the Rohm and Haas portfolio.
 
Rohm and Haas brings to Dow strengths in Coatings and Electronic Materials, according to Dow CEO Andrew N. Liveris. Dow will contribute complementary businesses to Rohm and Haas Company in areas such as coatings, biocides, and personal care products. As a result, annual revenue of Rohm and Haas will be about $13 billion, post-transaction.

Atlanta-based Zep Inc., a producer of cleaning and maintenance products, reported sales of $145.2 million for the third quarter ended May 31, 2008, down slightly from $145.4 million in the previous year. Profit was $0.2 million, down 94% from third quarter 2007.
 
Excluding charges for restructuring and special items, Zep had an adjusted profit of $6 million, down 4.8% from the adjusted profit the previous year.
 
The decline was attributed to higher raw material costs, increased stand-alone public company expenses and investments related to ongoing strategic initiatives.

The Minneapolis/St. Paul Star-Tribune reports that 3M Co. has told its workers that it is acquiring Standard Abrasives, Simi Valley, CA, a “significant rival in the metal-abrasives industry.” 3M officials have confirmed the coming acquisition.

Royal Adhesives and Sealants LLC, South Bend, IN, has acquired the IAC Bond-Plus water base adhesives and coatings product line. The acquired product line consists of EVA, PVA and, acrylic latex water based adhesives and coatings that are primarily sold to the paper, graphic arts and laminating markets.

Private equity firm CVC Capital Partners has offered to buy Dutch chemicals distributor Univar NV for US$2.04 billion (1.5 billion euro), a premium of about 37% to Univar’s closing price July 6.

Ulysses Luxembourg, controlled by CVC, will pay 53.50 euros a share for the company, which also operates in the U.S.
