Berkshire Hathaway will buy 60% of Marmon Holdings Inc., a private holding company with more than 125 manufacturing and service businesses that operate independently, for $4.5 billion.

Cooper Industries Buys Three Companies

Houston, TX-based Cooper Industries, Ltd. has acquired Sure Power Industries, Inc., OMNEX Control Systems, ULC, and Roam Secure. Combined sales for the three companies in 2007 will be $62 million and the combined purchase price is $100 million.

Sure Power, based in Oregon, provides products designed to aid in the management of DC electrical systems for the heavy-duty truck, off-highway equipment, military vehicle, recreational vehicle, bus, marine, and electric vehicle markets. &nbsp ;

The Year in Distribution: 2007

It’s been another roller-coaster year, with HD Supply changing hands and consolidation kicking into high gear. As distributors plan for 2008, opportunities exist for growth, but they may be more difficult to secure as the economy shifts into lower gear.

We thought it couldn’t get more interesting than 2006, when HD Supply bought Hughes Supply for $3.4 billion and recorded triple-digit growth throughout the year -thanks to a still-booming residential market and an aggressive acquisitive growth strategy.

Purchasing Execs Expect Growth in 2008

The past year, 2007, has presented challenges to manufacturers in the form of energy costs and overall inflation in manufacturing inputs. Manufacturer respondents in the Institute for Supply Management December 2007 Semiannual Economic Forecast expect cost pressures to subside in 2008; 62 percent of manufacturing purchasing and supply executives expect growth in revenues over 2007.

The panel of purchasing and supply executives expect a 6.8 percent net increase in overall revenues. These projections are part of the forecast issued by the Business Survey Committee of the Institute for Supply Management.

Paris-based electrical distributor Rexel confirmed that it will keep its bid of & euro; 4.85 per share for Dutch rival Hagemeyer NV, a total of about & euro; 3.1 billion (US$4.5 billion). Analysts had questioned whether the company would move ahead with its takeover bid or reduce the offer after Hagemeyer was ordered to pay & euro; 50 million in advance damages over the bankruptcy of a former subsidiary.

Ingersoll-Rand Company Ltd., Hamilton, Bermuda, has agreed to acquire Trane Inc., formerly American Standard Companies Inc., Piscataway, NJ, for $10.1 billion, including the assumption of $150 million of Trane net debt. Trane is a manufacturer of indoor climate control systems with expected 2007 sales of $7.4 billion.

Rexnord Acquires GA Industries for $76M

Zurn Industries, LLC, an affiliate of Rexnord LLC, Milwaukee, WI, has agreed to acquire GA Industries, Inc. for $76 million. The acquisition expands Rexnord’s strategic water management platform, which was created with Rexnord’s acquisition of Zurn in February 2007.

The acquisition further expands Zurn’s presence in water and wastewater markets in municipal, hydropower, and industrial environments. GA Industries, Inc., which includes the Rodney Hunt Company, manufactures automatic control valves, check valves, gate valves, and other engineered flow control products.

Testimony Ends in Cerberus-United Rentals Trial

Testimony has ended in the case that will determine whether private equity firm Cerberus Capital Management LP must pay a $100 million break-up fee for pulling out of its acquisition of United Rentals.

It could also be compelled to complete the $4 billion deal, Reuters has reported.
&nbsp ;
A Delaware court will hear the case that United Rentals, Greenwich, CT, initiated on Nov. 19, 2007, against Cerberus acquisition vehicles RAM Holdings Inc. and RAM Acquisition Corp.
&nbsp ;
The lawsuit seeks to compel Cerberus to complete its purchase of United Rentals.
&nbsp ;
United Rentals has said it has fulfilled its obligations under the merger agreement with Cerberus and stands ready to complete the merger transaction on the agreed-upon terms.

ABC Supply Founder & CEO Dies After Fall

Ken Hendricks, founder, chairman and CEO of national building materials distributor ABC Supply, Beloit, WI, died early Friday morning, Dec. 21, after suffering a massive head injury after a fall at his home Thursday. He died in surgery.&nbsp ; &nbsp ;

About 10 minutes after returning home Thursday evening, Hendricks walked out of his house onto the floor of an addition to his home that was under construction to see how much work had been completed. He fell from the flooring deck.

Cooper Industries Makes Offer for MTL Instruments

Cooper Industries, Ltd., Houston, TX, announced that its subsidiary, Cooper Controls (UK) Ltd., made an offer for MTL Instruments Group plc, a publicly traded company based in the United Kingdom.
&nbsp ;
MTL is a supplier of electronic instrumentation and protection equipment, the majority of which is used in hazardous environments such as the petrochemical, chemicals, and oil and gas production industries. In 2006, MTL had revenues of & pound; 85.3 million and net income of & pound; 5.5 million.

The offer has been unanimously recommended by both the Cooper and MTL Board of Directors and is currently being reviewed by MTL’s shareholders.

Valley National Gases Agrees to Buy Portland Welding Supply

Valley National Gases, LLC, Washington, PA, has agreed to acquire Portland Welding Supply, an industrial gas and welding supply and tool distributor with annual sales in excess of $30 million, 11 operating locations, and 130 employees throughout Maine and New Hampshire.

GDP Grows 4.9% in Third Quarter

Real gross domestic product -the output of goods and services produced by labor and property in the United States -increased at an annual rate of 4.9% in the third quarter 2007, according to final estimates released by the Bureau of Economic Analysis. In the second quarter, real

Forecast: Manufacturing Flat in 2008

The U.S. manufacturing sector will face turbulent times next year due in large part to the continuing housing collapse.&nbsp ; As a result, the economic landscape will remain highly volatile in 2008 before rebounding in 2009, according to the Manufacturers Alliance/MAPI Quarterly Industrial Outlook, a report that analyzes 27 major industries.
&nbsp ;
Housing starts were down 24 percent in the third quarter of 2007.&nbsp ; They are expected to fall another 28 percent in 2008, according to Daniel J. Meckstroth, chief economist for the Manufacturers Alliance/MAPI, and author of the analysis.&nbsp ; The good news is that the trend is likely to reverse itself in 2009, when housing starts are expected to see 34 percent growth to 1.3 million units.

Freudenberg has agreed to sell its European and U.S. brake hose business, Flexitech, to Mitsubishi Corp. and Meiji Flow Systems.

Eaton to Acquire Two Electrical Suppliers for $2.7B

Diversified industrial manufacturer Eaton Corp., Cleveland, OH, plans to acquire two electrical suppliers -one in Europe and one in Asia-Pacific. The acquisitions’ combined estimated sales for the year ended Dec. 31, 2007, are $2 billion.
&nbsp ;
When the acquisitions close, Eaton’s electrical business will have annual sales of more than $7.5 billion.
&nbsp ;
The European acquisition is of The Moeller Group, Bonn, Germany, a supplier of components for commercial and residential building applications, and industrial controls for industrial equipment applications. The company sells products primarily to customers in Western and Eastern Europe and in Asia Pacific. The agreed purchase price for Moeller is & euro; 1.55 billion (US$2.23 billion).
